1) Acceptance of Terms

By accessing or using our website or Services, you agree to these Terms & Conditions (the “Terms”). If you do not agree, do not use the Services.

These Terms incorporate our Privacy Policy and any additional policies referenced herein.

2) Eligibility & Accounts

You must be at least 18 and able to form a binding contract. When you create an account or request the widget, you agree to provide accurate information and keep it up to date.

You are responsible for maintaining the security of your credentials and for all activity under your account.

3) Services & Scope

Build-Folio provides tools to help contractors capture demand (financing widget), close deals (texting tools), and collect payments (future payments module). Features may evolve or be added over time.

We do not provide financial advice or credit underwriting. Financing options may be offered by third-party providers subject to their terms and eligibility.

4) Contractors vs. Homeowners

Contractors: You are responsible for your customer relationships and for complying with all applicable laws (including consent for messaging and marketing). You must not upload sensitive data to the Services without appropriate legal basis.

Homeowners/Consumers: Interactions with financing options are subject to the third-party provider’s policies. Build-Folio does not guarantee approval or specific rates.

5) QuickBooks Integration

5.1 Authorization and Scope

By connecting QuickBooks to Build-Folio, you authorize us to:

• Access your QuickBooks company data via OAuth 2.0 authentication
• Read customer information, invoices, payments, and account data
• Create and update customers based on your Build-Folio leads
• Create and update invoices in QuickBooks
• Record payment transactions
• Read company settings and preferences

Scope Limitations: We only access QuickBooks data necessary to provide our invoicing and lead management features. We do not access payroll, time tracking, or unrelated financial data.

5.2 OAuth 2.0 Authentication

QuickBooks integration uses OAuth 2.0 secure authentication:

• You authorize access through Intuit’s secure login page (not Build-Folio)
• We never receive or store your QuickBooks username or password
• We receive a secure access token that can be revoked at any time
• Tokens expire automatically and require periodic re-authorization
• All QB communication happens via encrypted Intuit APIs

5.3 Your Responsibilities for QuickBooks Data

You are responsible for:

• Data accuracy: Reviewing all data synced to QuickBooks for accuracy
• Backups: Maintaining regular backups of your QuickBooks data
• Discrepancies: Notifying us of sync errors or data discrepancies within 30 days
• QB account: Maintaining an active QuickBooks subscription
• Permissions: Ensuring you have authority to authorize QB data access
• Compliance: Following Intuit’s Terms of Service and QuickBooks usage policies

5.4 QuickBooks Sync Limitations and Disclaimers

Important limitations:

• Build-Folio is not liable for data sync errors, delays, or failures
• We are not responsible for QuickBooks API downtime or changes
• We are not liable for financial discrepancies resulting from sync issues
• You must verify all synced data before relying on it for business decisions
• We recommend reconciling Build-Folio and QuickBooks data regularly
• QB sync is provided “as-is” without guarantees of 100% accuracy

Data conflicts: If Build-Folio and QuickBooks data conflict, QuickBooks is considered the authoritative source. You are responsible for resolving conflicts.

5.5 Disconnecting QuickBooks

You may disconnect QuickBooks at any time:

• Go to Settings > Integrations > QuickBooks > Disconnect
• OAuth access tokens are immediately revoked
• Build-Folio can no longer access your QuickBooks data
• Previously synced data remains in QuickBooks (we do not delete it)
• Your QB data in Build-Folio is deleted within 30 days
• You can reconnect QuickBooks at any time

5.6 QuickBooks API Compliance

By using our QuickBooks integration, you agree to comply with:

• Intuit Developer Terms of Service
• QuickBooks API usage policies and rate limits
• Financial data regulations applicable to your business
• Data privacy laws (GDPR, CCPA, etc.)

We comply with Intuit’s security requirements, including:

• OAuth 2.0 authentication (no password storage)
• Encryption in transit (TLS 1.2+)
• Encryption at rest for OAuth tokens
• Regular security audits
• Secure data deletion practices

5.7 QuickBooks Subscription Requirements

QuickBooks integration requires:

• An active QuickBooks Online subscription (managed by Intuit)
• Build-Folio Professional tier ($199/month)
• We are not responsible for your QuickBooks subscription costs or status
• If your QB subscription lapses, sync will fail until renewed

5.8 Liability Limitations for QuickBooks Integration

In addition to general liability limitations in Section 10:

• We are not liable for financial losses due to QB sync errors
• We are not liable for tax filing errors resulting from inaccurate QB data
• We are not liable for QB API changes or discontinuation by Intuit
• Our total liability for QB-related issues is limited to fees paid in past 12 months
• We are not liable for data loss if you don’t maintain QB backups

5.9 Indemnification for QuickBooks Usage

You agree to indemnify Build-Folio from claims arising from:

• Your use of synced QuickBooks data for business decisions
• Financial discrepancies or errors in QB data
• Your failure to verify synced data accuracy
• Your violation of Intuit’s Terms of Service
• Tax or regulatory issues related to QB data

6) Consent & Communications

By providing a phone number or email, you consent to receive transactional communications necessary to provide the Services. Marketing and SMS messages require appropriate consent. Message frequency varies. Message & data rates may apply. Reply STOP to cancel, HELP for help. See SMS Terms.

7) Fees & Payments

The financing widget is free to start. Some features may be offered as paid subscriptions or usage-based services in the future. If fees apply, we will present pricing and billing terms within the Service or in an order form. Taxes may apply.

8) Third-Party Services

The Services may integrate with third-party providers (e.g., lenders, messaging, email, analytics, payments). Your use of such integrations is subject to the providers’ terms. We are not responsible for third-party services.

9) Intellectual Property

The Services, including software, text, graphics, logos, and content, are owned by Build-Folio or its licensors and are protected by intellectual property laws. You receive a limited, revocable, non-transferable license to use the Services as permitted by these Terms.

Feedback you provide may be used by us without restriction.

10) Acceptable Use

• No unlawful, harmful, or deceptive activities.
• No infringement of others’ rights or violation of privacy laws.
• No reverse engineering, scraping, excessive automated requests, or attempts to bypass security.
• No sending messages without appropriate consent.

11) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILD-FOLIO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

13) Indemnification

You agree to defend, indemnify, and hold harmless Build-Folio and its affiliates from any claims, losses, liabilities, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

14) Termination

We may suspend or terminate access to the Services at any time for any reason, including violation of these Terms. You may stop using the Services at any time.

15) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction and venue.

16) Changes to these Terms

We may update these Terms from time to time. We will post the updated date at the top of this page, and when required, provide additional notice. Your continued use of the Services after changes constitutes acceptance.
